General Terms of Use

Understand the rules governing access to and use of our services.

Preamble

These Terms and Conditions of Sale (TCS) define the terms and conditions applicable to the contractual relationship between Backdozer (as the platform operator) and partner suppliers who wish to sell their professional equipment through our platform.

1. Purpose

The TCS govern the respective obligations of suppliers and Backdozer for the sale of professional equipment, ensuring a transparent, efficient, and secure collaboration.

2. Supplier Commitments

2.1 Authenticity and accuracy of information

  • The supplier undertakes to provide accurate and complete information about the equipment offered for sale, including:
    • The condition of the equipment (new, used, repaired, etc.).
    • Detailed technical specifications.
    • Required documentation and certificates (invoices, certificates of compliance, etc.).
    • Any additional evaluated equipment, keys, tools, and accessories related to the equipment for sale must be handed over to Backdozer or the buyer upon pickup.

2.2 Product quality and compliance

  • The equipment offered must comply with applicable laws and regulations.
  • The supplier guarantees that the equipment does not have hidden defects that could make its use dangerous or unsuitable.

2.3 Temporary exclusivity

The supplier agrees not to sell the equipment listed on Backdozer through other channels during the agreed sales session period. Otherwise, they will be required to pay the commission fees of 15% of the agreed reserve price in the signed contract, as well as any fees related to the withdrawal.

3. Sales Process

3.1 Selection process

Backdozer reserves the right to select the equipment that will be listed for sale on the platform. The selection is based on criteria such as quality, demand, and relevance.

3.2 Inspection and evaluation

  • All equipment must undergo a technical evaluation by Backdozer’s experts before being listed for sale.
  • Inspection fees (if applicable) will be specified and may be charged to the supplier.

3.3 Price setting

The supplier proposes a starting price, which will be validated jointly with Backdozer based on market trends.

4. Obligations of Backdozer

4.1 Promotion of equipment

Backdozer undertakes to promote the supplier’s equipment through its platform and communication channels (website, newsletters, social networks, etc.).

4.2 Transaction management

  • Backdozer manages the full transaction process, including:
    • Collecting payments from buyers.
    • Providing the documents required to finalize the sale.

4.3 Sales transparency

The supplier will receive a detailed report of completed sales, including amounts, applied fees, and the balance to be paid to them.

5. Fees and Compensation of Backdozer

  • Backdozer receives a commission on each sale, calculated as a percentage of the final transaction amount.
  • Applicable fees (minimum 15% commission, inspection, etc.) are communicated to the supplier before the sale.
  • Payments to the supplier are made within 7 to 15 days after the buyer’s payment, minus applicable fees.

6. Withdrawal or Cancellation of Equipment

6.1 By the supplier

The supplier may withdraw equipment from sale before the start of the session, provided they inform Backdozer at least 48 hours in advance. Cancellation fees will still apply according to the signed contract.

6.2 By Backdozer

Backdozer reserves the right to remove equipment from sale in cases of:

  • Non-compliance or identified defects.
  • Incomplete or misleading information provided by the supplier.
  • Violation of these TCS.

7. Disputes and Claims

7.1 Disputes with buyers

Backdozer handles buyer claims related to the transaction and, if necessary, contacts the supplier to resolve the dispute.

7.2 Supplier liability

The supplier is fully responsible for the equipment they offer, including hidden defects or non-compliance.

8. Data and Privacy

  • Information shared by the supplier with Backdozer is processed in accordance with our Privacy Policy.
  • Backdozer undertakes not to disclose the supplier’s sensitive information to third parties without prior authorization.

9. Contract Termination

  • These TCS may be terminated at any time by either party, subject to a minimum notice period of 10 days before the sale.
  • In the event of serious misconduct (fraud, non-compliance, non-payment of fees), Backdozer may terminate the contract immediately and/or suspend ongoing sales.

10. Amendments to the TCS

Backdozer reserves the right to amend these TCS at any time. The updated conditions will be communicated to the supplier.

11. Applicable Law and Jurisdiction

  • These TCS are subject to the laws applicable in the country where Backdozer is domiciled, namely the court of Lyon, France.
  • Any dispute will be submitted to the exclusive jurisdiction of the competent courts.
